BOOKMYGURU TERMS & CONDITIONS

A. Acceptance of Terms

  1. Introduction:
    Welcome to BookMyGuru, the online platform owned and operated by Book My Guru LLC ("BookMyGuru", "we", "us", or "our"). These Terms & Conditions ("Agreement") govern your access to and use of our services, including the com website, mobile applications, and any related services we offer (collectively, the "Site"). By accessing or using the Site, you ("User" or "Guru") agree to comply with and be bound by this Agreement, along with the Privacy Policy, Guru Guidelines, and any additional rules, policies, and disclaimers posted or updated on the Site (collectively referred to as the "Terms").

IMPORTANT: You must review the Terms carefully. If you do not agree to all of the terms, you may not access or use the Site. If you access or use the Site, you acknowledge that you are legally bound by this Agreement.

  1. Eligibility:
    The Site and services are only available to individuals who are at least 13 years old. If you are under 18, you represent that you have received permission from a parent or guardian to use the Site.
  2. Modifications:
    BookMyGuru reserves the right to modify these Terms at any time, with the updated version posted on the Site. Modifications will become effective immediately upon posting, and your continued use of the Site will signify your acceptance of the changes. If any modifications to the Terms are not acceptable to you, your sole remedy is to cease using the Site.

B. Definitions

  1. "User": Refers to any person or entity who uses the Site to request consultations or interact with Gurus (including customers, clients, or users of the platform).
  2. "Guru": Refers to any individual who offers expert consultations, advice, or guidance via the Site, including but not limited to legal, medical, financial, business, or educational expertise.
  3. "Customer": Refers to individuals who use the Site to access or purchase consultations or services from Gurus.
  4. "Service": Refers to the platform and its features that facilitate the connection between Users and Gurus.

C. Communications & Modifications

  1. Electronic Communication Consent:
    By using the Site, you consent to receive communications from BookMyGuru electronically, including notifications, updates, promotional emails, and service-related information. You agree that these communications satisfy any legal requirements that such communications be in writing.
  2. Right to Modify Terms:
    BookMyGuru reserves the right to modify or update these Terms & Conditions at any time. Such changes will become effective immediately upon posting on the BookMyGuru Site or within the platform (e.g., app, website). BookMyGuru may, at its discretion, notify users of material changes through email, pop-up notices, or other conspicuous methods on the Site. Continued use of the platform after changes are posted constitutes acceptance of the modified Terms.
  3. Communication Preferences:
    Users can opt-out of promotional emails by following the unsubscribe instructions included in each email. However, opting-out may affect your ability to receive certain service-related communications.

D. Nature of Service & Disclaimers

  1. Educational & Informational Purpose:
    The content and consultations provided by Gurus are for informational, educational, and guidance purposes only. They do not replace or substitute for legal, medical, financial, mental health, or any other professional advice.
  2. No Professional Client Relationship:
    Interactions on BookMyGuru do not establish a professional-client relationship between Users and Gurus. By using the platform, you acknowledge that no attorney-client, doctor-patient, or any other professional-client relationship is formed via the Site.
  3. User Responsibility:
    Users are solely responsible for any decisions or actions taken based on the information or advice provided by Gurus. BookMyGuru is not liable for any consequences resulting from reliance on such advice.
  4. Liability Waiver:
    Users agree to waive and release BookMyGuru, Gurus, and affiliates from any and all liability arising from the use of the Site, including damages resulting from inaccurate or misleading advice.

E. Account Creation, Security, and Obligations

  1. Account Creation:
    Users must create an account to access certain services on the Site. By creating an account, you agree to provide accurate, current, and complete information as required during the registration process. You are responsible for maintaining the confidentiality of your account details.
  2. Account Security:
    Users are responsible for securing their login credentials and ensuring that their account is not accessed by unauthorized parties. You must notify BookMyGuru immediately if you suspect any unauthorized access to your account.
  3. Eligibility for Gurus:
    To be eligible to provide services as a Guru, individuals must meet specific requirements (e.g., qualifications, background checks, and verification). BookMyGuru reserves the right to verify the credentials of Gurus and may refuse or suspend access for those who fail to meet eligibility standards.

F. Conduct, Content, and Prohibited Activities

  1. Acceptable Use:
    Users and Gurus must engage in respectful and lawful conduct while using the Site. You agree not to engage in any behavior that disrupts the integrity of the Site, harms others, or violates any laws or regulations.
  2. Prohibited Content:
    You may not upload, post, or share content that is harmful, offensive, misleading, or illegal, including but not limited to:
    • Offensive language or hate speech
    • Pornographic or sexually explicit material
    • Harassment or threatening behavior
    • Violation of intellectual property rights
    • Content that contains viruses, malware, or harmful software
  3. Prohibition of Off-Platform Solicitation:
    Users are prohibited from soliciting Gurus for services or advice outside of the BookMyGuru platform unless explicitly allowed by the platform. Off-platform transactions may result in account suspension or termination.
  4. Responsibility of Contributors:
    • If you operate a profile, contribute content (including but not limited to blog posts, advice, articles, comments, reviews, or any other material) or provide any materials to BookMyGuru, you are solely responsible for the content you submit. This includes ensuring that the content you provide does not infringe any intellectual property rights, violate laws, or harm other users or third parties.
    • Infringement of Intellectual Property Rights:
      You represent and warrant that your content does not infringe the intellectual property rights (e.g., copyrights, patents, trademarks) or the privacy or publicity rights of any third party. You agree that you will not upload, post, or distribute any content that is protected by third-party intellectual property rights without appropriate permission or licenses.
    • Employer Rights:
      If you are posting content that was created during the course of your employment and your employer holds intellectual property rights over that content, you must either:
      • Obtain explicit permission from your employer to post such content on BookMyGuru; or
      • Ensure you have secured a waiver from your employer relinquishing their rights over the content.
    • Third-Party Licenses and Attribution:
      If you use content that is subject to a third-party license (e.g., images, software, text), you must comply with the licensing terms and ensure that you provide proper attribution, where applicable. Any content used in violation of third-party licenses may result in suspension or termination of your account.
    • AI Content:
      You agree not to use AI-generated content to answer or create any advice or materials unless explicitly permitted by BookMyGuru. BookMyGuru reserves the right to remove or suspend any content generated by AI that does not meet our standards for quality and authenticity.
    • Security:
      You agree that your content will not contain any viruses, worms, malware, Trojan horses, or other harmful or destructive components that may harm the platform, other users, or the platform’s infrastructure.
    • Spam, Phishing, and Unethical Content:
      You agree not to post or promote any spam, phishing, or unethical commercial content on the platform. This includes content that is designed to drive traffic to third-party websites or mislead recipients about the source or intent of the material. Any such activity may result in account suspension or termination.
    • Pornography, Violence, and Privacy Violations:
      BookMyGuru strictly prohibits any content that is pornographic, sexually explicit, incites violence, or violates the privacy or publicity rights of others. We reserve the right to remove any such content and suspend or terminate accounts associated with such material.
    • Misleading Content:
      You agree not to mislead other users with inaccurate content, deceptive blog names, or content that falsely represents your professional background or expertise. Any attempt to deceive other users or mislead them regarding your qualifications may result in immediate account suspension.
    • Proper Categorization and Descriptions:
      If your content includes technical material (such as code, software, or instructional guides), you agree to accurately categorize and describe the content to avoid confusion. Failure to provide accurate and clear descriptions may lead to removal of content.

G. Verification of Gurus

  1. Verification Process:
    BookMyGuru is committed to ensuring that all Gurus listed on the platform have the necessary qualifications and expertise to provide reliable guidance. As part of our Guru verification process, we verify that each Guru has at least one relevant credential in the area of expertise they claim to represent on the platform.
  2. Types of Credentials:
    The credentials we verify may include, but are not limited to:
    • Professional certifications (e.g., licenses, degrees, accreditations)
    • Educational qualifications (e.g., diplomas, degrees, certificates)
    • Verified social media presence or professional networks (LinkedIn profiles, industry affiliations)
    • Other publicly available proof of expertise or industry recognition

BookMyGuru reserves the right to require Gurus to provide additional proof of their credentials, qualifications, or identity at any time. This may include providing identity verification documents, educational certificates, professional credentials, or any other documentation that we deem necessary to ensure the Guru's credibility.

  1. Third-Party Verification:
    We may also verify credentials through third-party verification services, professional organizations, or any publicly available information. While we make reasonable efforts to verify credentials, BookMyGuru does not guarantee the accuracy of the information provided by Gurus or third-party verification services. Therefore, users should still exercise their own discretion when relying on advice or content provided by Gurus.
  2. Guru's Responsibility to Maintain Credentials:
    Gurus are required to keep their credentials up-to-date. If there are any changes to their qualifications or professional status (e.g., license expiration or changes in professional certifications), they must inform BookMyGuru immediately to maintain their status as verified experts on the platform.
  3. Failure to Provide Verification:
    BookMyGuru reserves the right to request verification at any time, and failure to provide requested documentation or verification within a reasonable timeframe may result in the suspension or termination of the Guru's account. If a Guru fails to meet the standards set by BookMyGuru or does not comply with the verification process, their account may be permanently removed from the platform.
  4. Right to Refuse or Remove Guru Listings:
    BookMyGuru has the sole discretion to approve, suspend, or remove a Guru’s account based on the verification results. If a Guru fails to meet the expectations or standards set by BookMyGuru, or if any information provided is found to be fraudulent or misleading, the Guru’s account may be suspended or terminated.

H. Payments, Fees, and Refunds

  1. Pricing and Payment Models:
    BookMyGuru offers several payment models, including per-session payments, subscription models, or membership fees. Payments are processed through the Site, and Users are responsible for ensuring their payment information is accurate.
  2. Guru Payouts:
    Gurus will be compensated based on the pricing agreed upon by Users and Gurus. Payouts will be made through third-party payment processors (e.g., PayPal, Stripe), and Guru payouts will be subject to applicable transaction fees.
  3. Refund Policy:
    Refunds are available under specific conditions, such as service failures or Guru unavailability. Requests for refunds must be made within a specified period after the session.
  4. Cancellation Policy:
    Both Users and Gurus have the right to cancel sessions. Users may be entitled to a partial refund depending on when the cancellation occurs.
  5. Taxes:
    Users and Gurus are responsible for any taxes associated with their transactions on the Site.

I. Intellectual Property

  1. Definition of Content:
    "Content" refers to any material, data, or information that is created, shared, or provided by Users or Gurus on the BookMyGuru platform, including but not limited to:
    • Guru Content: Profiles, consultation advice, blog posts, articles, videos, audio, and other educational or informational materials created by Gurus.
    • User Content: Questions, comments, reviews, ratings, and any other text or media contributed by Users.
    • Platform Content: All content owned or created by BookMyGuru, including the website design, software, logos, trademarks, and any other proprietary content developed by the platform.
  2. Ownership of Guru-Generated Content:
    • Guru Retains Ownership: Gurus retain ownership of their original content (e.g., their educational material, advice, blog posts). However, by submitting content to BookMyGuru, Gurus grant BookMyGuru a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, distribute, and promote such content on the platform and through promotional channels (e.g., social media, newsletters, etc.).
    • Restrictions on Reuse: Gurus agree not to reuse or redistribute their own content, or allow others to do so, outside of the BookMyGuru platform without prior written consent from BookMyGuru.
    • No Unauthorized Replication: Gurus/users agree not to take screenshots, create screen recordings, or reproduce their content (or other users’ content) from the platform for use outside the platform, including social media, websites, or any other platform, unless explicitly permitted by BookMyGuru.
  3. Ownership of User-Generated Content (Comments, Reviews, etc.):
    • User Content Ownership: Users retain ownership of content they submit to the platform, including comments, ratings, and reviews. However, by submitting such content, Users grant BookMyGuru a non-exclusive, worldwide, royalty-free license to use, display, distribute, and promote the content as part of the platform’s operations.
    • No Commercial Use: Users may not use, sell, or distribute their content outside the platform without permission. All content submitted by Users may be used for promotional and operational purposes within BookMyGuru.
    • Comments & Reviews: Any comments, ratings, or reviews submitted by Users about Gurus or services are also considered User Content, and by submitting them, Users grant BookMyGuru the right to use them in connection with the platform’s services.
  4. Platform Content Ownership:
    • BookMyGuru Ownership: BookMyGuru owns all intellectual property rights to the platform’s design, software, code, branding, and other proprietary content. Users and Gurus are prohibited from using or reproducing BookMyGuru’s platform content without prior consent.
    • Software and Technology: The platform's software, databases, and related technologies are the exclusive property of BookMyGuru and are protected by applicable copyright, trademark, and other intellectual property laws.
  5. Prohibited Uses:
    • No Unauthorized Use: Users and Gurus agree not to use, copy, or distribute any content on BookMyGuru in a manner that violates these Terms or applicable intellectual property laws. This includes creating derivative works, redistributing content, or utilizing BookMyGuru’s content for commercial purposes without permission.
    • Misuse of Content: Any unauthorized use of the platform’s content or the content created by Gurus (e.g., republishing advice or consultation content) will be subject to suspension or termination of the User’s or Guru’s account and may lead to legal action.
  6. Violation Consequences:
    • Violation of Content Rights: Any violation of these content ownership provisions, including unauthorized use, reproduction, or distribution, may result in immediate account suspension, termination, and possible legal action.

J. Privacy and Data Protection

  1. Privacy Policy:
    By using the Site, you agree to the BookMyGuru Privacy Policy, which outlines how we collect, use, and protect your personal data. We are committed to maintaining the confidentiality of your personal information and complying with relevant data protection laws.

K. Dispute Resolution, Arbitration, and Governing Law

  1. Dispute Resolution Process:
    If you have a dispute with BookMyGuru, you agree to attempt to resolve the dispute informally before seeking formal resolution. If informal resolution fails, the dispute will be resolved through binding arbitration.
  2. Arbitration Clause:
    Any dispute between you and BookMyGuru will be resolved by a neutral arbitrator, and the location of arbitration will be in [insert location]. You waive the right to a jury trial, and no class action claims will be permitted.
  3. Governing Law:
    This Agreement is governed by the laws of [insert jurisdiction], without regard to its conflict of law provisions. Arbitration will take place in [insert location].

L. Termination

  1. Termination by User:
    You may terminate your account at any time by notifying BookMyGuru via email (contact@bookmyguru.com). Upon termination, you will lose access to the platform, but any pending financial obligations will remain.
  2. Termination by BookMyGuru:
    BookMyGuru reserves the right to suspend or terminate any User or Guru account for violation of these Terms or any illegal activity. Terminated accounts may not be reactivated.

M. Limitation of Liability and Indemnification

  1. Limitation of Liability:
    BookMyGuru is not liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Site or services. Our liability is limited to the fees you have paid to us in the past 12 months.
  2. Indemnification:

    User and Guru Responsibility:
    By using the BookMyGuru platform, you agree to indemnify, defend, and hold harmless BookMyGuru LLC, its contractors, licensors, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, expenses, or costs, including reasonable attorneys' fees, arising out of or in connection with:
  • Your use of the BookMyGuru platform and services.
  • Your violation of this Agreement, including any breach of the representations and warranties made herein.
  • Any content you submit or contribute to the platform, including user-generated content such as posts, ratings, or comments.
  • Any action that violates the rights of another user, guru, or third party, including intellectual property rights, privacy rights, or any other legal rights.
  • Any fraud, misconduct, or illegal activity related to your account.

    Scope of Indemnity:
                                              This indemnity obligation applies to any claims, demands, or legal actions brought against BookMyGuru or its affiliates, arising from the actions or omissions of users, gurus, or any third party associated with your use of the platform.

    Legal Costs:
                               Users agree to reimburse BookMyGuru for any legal costs, including attorneys' fees, incurred as a result of any indemnifiable claim, and to cooperate fully in defending any such claims.

N. Disclaimer of Warranties

  1. "As Is" Basis:
    The BookMyGuru platform, including all content, features, and services provided, is offered on an "as is" and "as available" BookMyGuru, its affiliates, suppliers, and licensors make no warranties or representations of any kind, either express or implied, with respect to the platform or the services provided, including, but not limited to:
    • Implied Warranties of Merchantability: The platform is not guaranteed to be error-free or suitable for any specific purpose.
    • Fitness for a Particular Purpose: BookMyGuru does not warrant that the services will meet your requirements or that the platform will be available at any given time.
    • Non-Infringement: We do not guarantee that the content available through the platform will not infringe any third-party intellectual property rights.
  2. No Guarantee of Error-Free Services:
    BookMyGuru does not warrant that the platform will be uninterrupted, error-free, or free of harmful components, including viruses or malware. We do not guarantee continuous or uninterrupted access to the services, and we may modify, suspend, or discontinue any aspect of the platform at any time without notice.
  3. Use at Your Own Risk:
    You understand and agree that by using the BookMyGuru platform, you do so at your own discretion and risk. You are responsible for any damage to your device, data, or loss of data that results from using the platform, downloading, or accessing any content, including any errors, interruptions, or failures in service.

O. Miscellaneous

  1. Entire Agreement:
    This Agreement constitutes the complete and exclusive statement of the Terms between BookMyGuru and you, superseding all prior discussions or agreements.
  2. Severability:
    If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  3. Assignment:
    BookMyGuru may assign this Agreement to any third party without restriction. Users may not assign this Agreement without our written consent.

P. Governing Law and Jurisdiction

  1. Governing Law:
    These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Jurisdiction:

Any legal actions or proceedings arising out of or related to these Terms shall be brought exclusively in the courts located in Texas, and you consent to the jurisdiction of such courts.
